Separate the forms of consideration

Cash at completion, a fixed deferred payment, an earn-out and retained equity create different risks. A fixed deferred amount is an agreed future payment, subject to its terms and the buyer’s ability to pay. An earn-out becomes payable only if specified conditions are met. Retained equity remains invested and may have limited liquidity. Do not add all components into a headline total and treat them as equally certain cash. Build a schedule showing amount, timing, condition, security and the party responsible for payment. BDC’s sale-financing guidance highlights why the buyer’s financing structure can matter to a seller who remains exposed after completion.

Examine what drives an earn-out

Read the metric, period, accounting rules, exclusions and dispute process. If the earn-out depends on profit, ask how group overhead, investment decisions, staffing and transferred clients affect the calculation. If it depends on revenue, define recognition and treatment of cancellations or cross-selling. Clarify the seller’s role, access to information and what happens if the buyer changes strategy or ends the founder’s employment. These issues require professional negotiation and drafting; a friendly promise that everyone will be fair is not a calculation method. Model plausible operating outcomes so the founder understands where the payment may change and what they can actually influence.

Compare retained ownership and certainty

Retained equity can offer participation in future value, but it also exposes the seller to future business performance, dilution, governance and exit terms. Ask which entity the shares represent and what rights attach to them. A minority interest in the acquired agency differs from equity in a larger group. Compare the realistic liquidity path, information rights and decision influence with the owner’s objectives. A larger nominal offer with conditional components may be less attractive than a smaller, more certain payment. The right comparison considers risk, timing, taxes and the founder’s required future work, rather than ranking offers by the top-line number alone.

Plan the handover as part of the deal

Define the founder’s transition role, time commitment, decision authority and compensation separately from assumptions about sale proceeds. Map client introductions, staff communication, supplier continuity, systems access and knowledge transfer. Agree who communicates what, when and through which authorized channels. Include a plan for unresolved client or operational issues so they do not become surprises immediately after completion. A transaction can be financially agreed yet operationally fragile. The handover should preserve the service clients bought and give the incoming leadership enough context to run it, while allowing the seller to move toward the future role that motivated the transaction.

See it in practice

Maya compares two fictional proposals before taxes and transaction expenses. Offer A provides 1,500,000 cash at completion. Offer B advertises up to 2,000,000: 1,000,000 cash, an earn-out of up to 600,000 and retained equity assigned an illustrative 400,000 value in the proposal. She does not treat the latter two components as cash received. Her advisers examine the earn-out calculation, buyer control over costs, equity rights and potential liquidity. They also clarify that Offer B requires three years of founder involvement, which conflicts with her preferred two-year transition. Maya models a zero, partial and full earn-out outcome and asks how the retained interest could be sold later. Separately, both proposals need a client and staff handover plan. The comparison now reflects certainty and obligations, not just the largest advertised total.

Compare the alternative

Another seller chooses the highest headline amount and assumes the earn-out is a delayed bank transfer. After completion, costs are allocated differently and the founder discovers that the agreement gives little clarity about the calculation or information access. Retained shares cannot be readily sold, while the transition role is more demanding than expected. The seller may still have value, but the transaction is very different from the cash exit imagined when the headline was accepted.

Avoid this misconception

An earn-out is not automatically good or bad. It can bridge uncertainty, but its usefulness depends on definitions, control, incentives and enforceable terms. Retained equity can provide upside without guaranteeing it. Compare these elements deliberately and distinguish the price paid for ownership from compensation for the founder’s continuing work after completion.

Know the boundary

This is an educational comparison, not advice to accept a specific offer. Transaction, tax, employment and shareholder terms require qualified advisers. Model downside as well as upside, verify financing and obtain professional review of the actual documents before committing to any sale, retained investment or post-sale obligation.

Turn this lesson into a useful action.

Compare Offers A and B and draft Maya’s handover questions.

Before you start

Use a document or spreadsheet and the fictional case in this lesson. Work with synthetic information; no purchase, real client records or actual transaction is required.

Your steps

  • Separate each component by certainty and timing.
  • Model zero, partial and full earn-out outcomes without treating equity as cash.
  • List five terms that need adviser review and a transition owner.

What better looks like

Before: Cash, deferred payment, earn-out and equity.

After: Agree the founder role and continuity plan.

Your working notes

Notes stay in this browser. Download a copy to keep them.

Verify your work

  • The maximum is not presented as guaranteed proceeds.
  • Equity rights and liquidity remain explicit questions.
  • The founder’s future work is evaluated separately.

Follow up

Ask a colleague to challenge the assumptions. Record the decision, the evidence still needed, its owner and a review date before applying the plan to a real agency.

Before you move on

Make the decision.

Offer A provides 1,500,000 cash at completion. Offer B advertises up to 2,000,000 through 1,000,000 cash, a conditional 600,000 earn-out and retained equity assigned 400,000 in the proposal, with a longer founder role. How should the owner compare them?
